These Terms of Service ("Terms") govern your access to and use of the OraFlows website and our products, OraInvoice and OraSign (together, the "Services"), provided by OraFlows Ltd, a company incorporated in New Zealand. By creating an account or using the Services, you agree to these Terms. If you are using the Services on behalf of an organisation, you confirm you have authority to bind that organisation.
You must provide accurate information when creating an account and keep your login credentials secure. You are responsible for all activity that occurs under your account. Notify us immediately if you suspect any unauthorised use.
We grant you a non-exclusive, non-transferable right to access and use the Services for your internal business purposes, subject to these Terms and your subscription plan. The Services are provided as software-as-a-service; you do not acquire any rights in the underlying software.
You retain ownership of all data and content you enter into the Services ("Your Data"). You grant us a limited licence to host, process and display Your Data solely to provide and support the Services. You are responsible for ensuring you have the right to upload Your Data and that it complies with applicable law. We handle personal information as described in our Privacy Policy.
OraSign facilitates electronic signing of documents. Electronic signatures are legally recognised in New Zealand under the Contract and Commercial Law Act 2017 where the applicable requirements are met. You are responsible for ensuring that electronic signing is appropriate for your particular document and for verifying signer identity where required. OraFlows provides the platform and audit trail but is not a party to, and gives no legal advice on, the documents you sign.
Paid plans are billed in advance on a recurring basis according to the plan you select. Fees are stated in New Zealand dollars and are exclusive of GST unless stated otherwise. Unless required by law, fees are non-refundable. We may change our pricing on reasonable notice, effective from your next billing period. Failure to pay may result in suspension of the Services.

The Services, including all software, design, branding and content (other than Your Data), are owned by OraFlows Ltd or our licensors and are protected by intellectual property laws. Nothing in these Terms transfers any of those rights to you.
We aim to keep the Services available and reliable, and to provide support during New Zealand business hours. From time to time we may need to perform maintenance or make changes to the Services. We will use reasonable efforts to give advance notice of planned downtime.
The Services are provided "as is". To the maximum extent permitted by law, we exclude all implied warranties. Where you acquire the Services for business purposes, you agree that the Consumer Guarantees Act 1993 does not apply. To the extent permitted by law, our total liability arising out of or in connection with the Services is limited to the fees you paid to us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect or consequential loss, or loss of profits, data or goodwill.
You may cancel your subscription at any time, effective at the end of your current billing period. We may suspend or terminate your access if you breach these Terms or fail to pay. On termination, you may export Your Data for a reasonable period, after which we may delete it in accordance with our retention practices.
These Terms are governed by the laws of New Zealand, and the New Zealand courts have exclusive jurisdiction over any dispute arising from them. We may update these Terms from time to time; continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
